Terms of Service

You certify to Service Universe that if you are an individual (i.e., not a company), you are at least 16 years of age. If you are a legal entity, you certify that you are an officer of the company or you are otherwise authorized to act on behalf of the company. You also certify that you are legally permitted to use the Program and that you take full responsibility for the selection and use of the Program. This Agreement is void where prohibited by law, and the right to access the Program is revoked in such jurisdictions. You understand and agree that the arrangement does not create an employment, partnership, or joint venture between Service Universe and any Ambassador. As an Ambassador, you are expected to act with honesty, adhere to all applicable federal, provincial/territorial, and municipal laws, regulations, and oversight mechanisms.

By participating in the Program, you also agree that you are not the target of trade, financial, and economic sanctions under the United Nations Act (UNA), the Special Economic Measures Act (SEMA) or the Justice for Victims of Corrupt Foreign Officials Act (JVCFOA), and that you do not appear on a sanctions-related list, including lists maintained by the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”), the U.S. Department of State, the U.S. Department of Commerce, the European Union, or Her Majesty’s Treasury of the United Kingdom. You agree that you will not promote Service Universe to customers from countries or territories that are the target of comprehensive embargoes or sanctions or parties on the sanctions-related lists referenced above.

There are 3 basic requirements for participating in the Service Universe's Ambassador Program:

- An Ambassador must be over the age of 16 to participate.

- Ambassadors must have a sufficient number of followers on their active public Instagram, Facebook, or other social media accounts, with the majority of the audience being 18+ years old. Service Universe reserves the right, at its discretion, to make exceptions from the aforementioned criteria for followers.

- In addition to the terms and conditions of this Agreement, Ambassadors must also act in compliance with all Service Universe guidelines and Terms and Conditions.

In order to enjoy the benefits of the Program, you must fill out the application form available on our Ambassador Help Centre page, submit the form, and be selected by Service Universe to become an Ambassador.

After you have submitted the form, Service Universe will review your application and decide whether you will be accepted as a Service Universe's Ambassador. If you have been approved for the Program, you become an Ambassador. The Ambassador must register on the Site (including by filling out all required personal information - your full name, email, and Ambassador name). The Ambassador may not opt out of receiving marketing and promotional emails unless otherwise agreed upon.

Service Universe shall compensate Ambassadors for the transactions conducted on the Service Universe web platform by any party directly recruited by the Ambassador, in accordance with the terms of this Agreement. The compensation structure shall be commission-based. Sales commission payments (the 'Commission') shall be made available to Ambassadors bi-weekly and on-demand.

Service Universe reserves the right to monitor your inactivity period (the “Idle Period”). To maintain the Ambassador Account in good standing, the Idle Period should not exceed the allowed maximum. According to the terms of the Agreement, any commission earned or claimed during an exceeded Idle Period will be forfeited.

The mission of Ambassadors is to recruit new users to the Service Universe platform. All successful sale transactions will be recorded in the Service Universe database. Ambassadors may be entitled to a portion of the fees collected by Service Universe, if either the Customer, the Provider, or both were recruited by the Ambassador.

All aforementioned sale transactions shall be included in the Ambassador Commission calculation, unless:

a) Any transactions are newer than the waiting period (currently set at 30 days).

b) The maximum Idle Period has been exceeded.

c) The last Commission payment was processed less than 14 days ago.

The Cycle term multiplier will be applied to each commission calculation transaction individually. Ambassadors will be entitled to 100% of the allocated Commission in the first Cycle term, 50% in the second Cycle term, and 25% thereafter. The Cycle term is currently set at 365 days from the user sign-up date. Service Universe reserves the right to change, modify, suspend, or discontinue any of the above-mentioned terms, values or durations, at its discretion, while all other conditions will apply.

The commission rates and calculation formula will be disclosed to each Ambassador individually, and these rates typically remain unchanged over time. Other conditions may also apply.

The Program may offer additional benefits to Ambassadors in exchange for the content, hereinafter “Content” (information, images, pictures, data, text, photographs, graphics, messages, or other materials).  Ambassadors create content using services provided by Service Universe as part of the Program, or they may create content for other Service Universe users outside of the Program.

Service Universe reserves the right to decide on and inform what, how often, and how many benefits the Ambassador will receive while participating in the Program. Benefits are offered to Ambassadors during the Program in exchange for service promotion on the social media accounts of the Ambassadors. Service Universe reserves the right to unilaterally change, as well as increase or limit the benefits Ambassadors receive, and Service Universe, taking into account commercially reasonable attempts, will inform the Ambassadors about the benefits they will receive. Benefits may include:

- Free services purchased by the Ambassador through the Service Universe's site.

- Discounts applied to the Ambassador's purchases of services from the Service Universe's site.

The role of the Service Universe Ambassadors is to authentically promote the brand's message and offerings to their own audience, leveraging their influence and credibility to drive engagement and sales. This can be done through various channels such as social media, public appearances, partnerships, and word-of-mouth marketing.

Ambassadors must follow all the instructions and rules from Service Universe. Ambassadors should be using the communication and tracking functionalities provided by Service Universe in the Ambassador toolkit through the Service Universe Ambassador account and the SU Ambassador mobile app.

To be eligible to claim Commission, Ambassadors must engage with prospect Service Universe users by sending invitation messages directly from the Site. The Site will reserve the prospect's contact information for at least 14 days from the date when the Invitation was sent. If the prospect registers as a Provider or a Customer within that period, their account will be linked to the Ambassador's ID.

If the reservation expires of contact information, any Ambassador can send a new Invitation to the prospect user. However, the new prospect user’s account may still be linked to the Ambassador who sends the most recent Invitation. The terms regarding the expiration period of invitations will apply.

If prospect users choose to enroll using alternative email accounts or mobile numbers, the Ambassador won’t be eligible to claim sales Commission from such users.

Ambassadors should refrain from collecting or sharing any sensitive or personal information on behalf of Service Universe. Please consult the Privacy Policy for any questions or concerns.

The Ambassador's social media account must be the one that was approved by Service Universe for the Program.

The Ambassador can create the Content, including but not limited to the promotional posts and stories, by following Service Universe visual guidelines:

- Take bright images with colorful accents to achieve tonal similarities to pictures posted on the Service Universe social media accounts (e.g. @ServiceUniverse).

- Focus on plain images and styling with no busy backgrounds.

- Shoot in daytime lighting conditions while avoiding taking pictures in direct sunlight.

If the Ambassador uses any Service Universe trademarks (including word or graphic elements), it must be done in compliance with Service Universe's Terms of Service, and he or she must include a statement attributing that trademark to Service Universe. The Service Universe logo cannot be altered or changed.

Upon notice from Service Universe, you must immediately remove from your social media accounts all references to Service Universe, including its name, logo, trademark, service mark, or any other identifying material.

The Ambassador is solely responsible for the activity that occurs on the Ambassador's account, and the Ambassador must keep its account password secure. The Ambassador must notify Service Universe immediately of any breach of security or unauthorized use of its account. Although Service Universe will not be liable for the Ambassador's losses caused by any unauthorized use of its account, the Ambassador may be liable for the losses of Service Universe or others due to such unauthorized use described above.

Content that you post, submit, upload, display, sell, or use using our Program and services is your Content for which you are solely responsible. You confirm that you have all necessary rights to the Content and that you’re not infringing or violating any third party’s rights by posting it or using it.

Service Universe expects the Content created by the Ambassador to be a truthful and creative representation of Service Universe services that, depending on the purpose of the Content, educates followers and/or increases their curiosity about Service Universe. Service Universe is respectful of the Ambassador's creative freedom to create Content in a way that inspires the Ambassador's audience.

By participating in the Program and creating the Content, the Ambassador agrees that Service Universe can use the Content on the Site, social media accounts, blog, or in its marketing activities and grants a worldwide, royalty-free, perpetual, non-exclusive right and license to copy, distribute, and display the Content in any media including posting in an online gallery, publication(s), and various marketing materials, with the right to use, copy, modify, edit, and create derivative works therefrom. The Ambassador also agrees to execute documents confirming such right and license at Service Universe’s reasonable request.

Except to the extent permitted by applicable law, the Ambassador shall not:

- Use any illegal method of advertising to promote the Service Universe services or products, and the Ambassador shall be solely liable for any such unauthorized communications.

- Display the Content in any way that, in Service Universe's discretion, disparages or creates a derogatory or negative image of Service Universe.

- Make any false or misleading representations relating to Service Universe, or engage in any other practices that could harm the reputation of Service Universe.

- Display any Content in a manner that contains or promotes (a) illegal activities or (b) Content that is misleading, violent, deceptive, or violates any third-party intellectual property, privacy, or other rights of any kind. The Ambassador is solely responsible for following all federal, provincial/territorial, and local laws, regulations, and rules regarding advertising claims, including but not limited to the federal Competition Act guidelines.

This Agreement is effective at the time your application is, at the sole discretion of Service Universe, accepted by Service Universe and you are notified of such acceptance either in writing or electronically. Either party may terminate this Agreement at any time with or without cause. Upon the termination of this Agreement for any reason, all rights or licenses granted hereunder shall immediately terminate, and you will immediately cease use of, and remove all links to the Site, and all Service Universe trademarks and logos, other marks, and all other materials provided in connection with the Program.

Service Universe reserves the right to delete unconfirmed accounts or accounts that have been inactive for extended periods of time. By violating any applicable law or this Agreement, the Agreement will be terminated immediately, and the Ambassador understands and agrees that any and all benefits assigned and received can be immediately recalled or forfeit and that the Ambassador's account will be immediately terminated.

No agency, partnership, joint venture, employee-employer, franchisor-franchisee relationship, etc., is intended or created by this Agreement. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

If a dispute arises between you and Service Universe, we strongly encourage you to first contact us directly to seek a resolution. The Agreement is governed and any dispute or claim arising out of or in connection with it is settled in accordance with the procedure set forth in Ambassador Terms of Service and Service Universe Terms & Conditions.

In our sole discretion, we reserve the right to change, modify, suspend, assign or discontinue this Agreement and Program at any time, including the availability of any feature or content. Service Universe may also impose limits on certain features or restrict Ambassador's access to parts or all of the Program without notice or liability. The Ambassador shall be responsible for reviewing and becoming familiar with any such modifications. Use of the Program by the Ambassador following such modifications constitutes the Ambassador's acceptance of the terms and conditions of changes as modified.

Headings are for reference purposes only and do not limit the scope or extent of the respective section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee that we will act against all breaches of this Agreement. The Ambassador waives any applicable rights to require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent not prohibited under applicable law.

We make no express or implied warranties or representations with respect to the Program or this Agreement or any products or services sold by Service Universe. In addition, we make no representation that the operation of the Site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
